Terms of Service

These terms cover your account, what you may and may not do with the contact information HiFive surfaces, and the limits of our liability. Please read the section on contact information: it is the one most specific to this product.
Who these terms are between
Thank you for using HiFive. We built it to help teams find and reach the right people. Because we do not know every one of our customers personally, we need terms of service to set expectations on both sides.
When we say "HiFinance", "we", "our", or "us" in this document, we are referring to HiFinance, the company that builds and operates HiFive.
When we say "Services", we mean the HiFive web application (including any workspace we host for your organization on a hifinance.ai subdomain or another agreed domain), our APIs, and any related product we create and maintain.
When we say "you" or "your", we mean the organization that holds a HiFive account and every person that organization authorizes to sign in and use it.
When we say "Contact Information", we mean names, work email addresses, phone numbers, links to professional profiles, employment and education history, and other professional details about individual people that the Services surface to you, including people who have no account with us and no relationship with you.
We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change, we will refresh the date at the top of this page and take other reasonable steps to notify account holders. When you use the Services, now or in the future, you are agreeing to the latest Terms. If we do not exercise or enforce a right or provision of the Terms on some occasion, that does not mean we have waived it. These Terms contain a limitation of our liability.
If you violate these Terms, we may suspend or terminate your account. That is a broad statement, and it means you need to place trust in us. We try to deserve that trust by being clear about what we expect and by explaining ourselves before we act, wherever we can.
Account terms
- You are responsible for maintaining the security of your account and password, and for making sure everyone you authorize does the same. We cannot and will not be liable for any loss or damage arising from your failure to meet this obligation. Tell us promptly at team@hifinance.ai if you believe an account has been compromised.
- Accounts are issued to individual people at an organization. Do not share a login with someone else, and do not let anyone use the Services under your credentials.
- You are responsible for all activity that occurs under your account and under the accounts of the users in your workspace, including everything they do with Contact Information.
- You must be a human and of legal age in your jurisdiction. Accounts registered by bots or other automated methods are not permitted.
- Access to a workspace is granted on the basis of your relationship with the organization that holds it. When that relationship ends, so does your right to use the workspace and everything in it.
How you may use contact information
HiFive surfaces Contact Information about people who are not our users and who have not agreed to anything with you. We take that seriously, and so must you. The permission we grant you to use Contact Information is limited, and this section sets out its limits.
You may use Contact Information obtained through the Services only on behalf of the organization whose workspace you are using, and only for legitimate business purposes such as, but not limited to, those listed below. You may not use it for personal purposes, for spam, or for any abusive purpose.
Those purposes include, but are not limited to:
- Hiring: recruiting a person for a role at your organization, or at a company your organization backs or advises.
- Business development: approaching a person about a genuine commercial relationship between their organization and yours.
- Expert services: engaging a person for paid advisory, consulting, diligence, or similar project work.
- Speaking: inviting a person to speak at, host, or take part in an event your organization is running.
What these have in common is the shape of the permission: an approach made in your organization's name, about a specific opportunity, to a person whose professional background makes the approach relevant. Any other use you make of Contact Information must fit that same shape, and must not fall within the prohibitions below.
In particular, you may not:
- Use Contact Information for personal reasons: social, romantic, political, or anything else unrelated to your organization's business.
- Send bulk, untargeted, or repeated unsolicited messages, or add anyone to a marketing list, newsletter, or automated sequence they did not ask to join.
- Sell, license, publish, post, or otherwise redistribute Contact Information, or transfer it to anyone outside your organization.
- Export Contact Information in bulk in order to build or enrich a separate database, product, or model.
- Harass, intimidate, threaten, stalk, defraud, defame, or impersonate anyone, or use Contact Information to help someone else do so.
- Continue contacting a person after they have asked you to stop, or after they have unsubscribed or objected.
- Use Contact Information to make or support decisions that discriminate against a person on a basis prohibited by law.
- Use Contact Information in any way that breaks applicable law, including Canada's Anti-Spam Legislation (CASL) and PIPEDA, the US CAN-SPAM Act and TCPA, and the EU and UK GDPR.
You are the sender of any message you send. You are responsible for meeting the legal requirements that apply to it, including consent where consent is required, identifying yourself and your organization accurately, and providing a working way to opt out. You must honour every opt-out, unsubscribe, deletion, or objection request you receive, promptly and across all of your systems, and you must tell us at team@hifinance.ai if a person asks to be removed from HiFive itself.
You must keep Contact Information no longer than you need it for a permitted purpose, and delete it when your account is closed.
If we believe Contact Information from the Services is being used outside these limits, we may suspend the account and, where warranted, terminate it. We may do this without prior notice where the misuse is ongoing or serious.
Other use restrictions
Separately from the rules on Contact Information, when you use the Services you agree that you will not:
- Access or extract information from accounts or workspaces that do not belong to you.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, or probe or scan them without our written permission.
- Trick, defraud, or mislead us or other users, including by making false reports or impersonating another user.
- Upload or transmit viruses, malware, or any information-collection mechanism such as tracking pixels or web bugs.
- Interfere with, disrupt, or place an undue burden on the Services or the networks they run on, including through automated scraping or excessive API traffic.
- Harass, intimidate, or threaten other users, or the people who build and support the Services.
- Use the Services in any manner inconsistent with applicable laws or regulations.
Accounts found to be in violation of any of the above are subject to suspension or cancellation. You can report a violation by emailing team@hifinance.ai with details of the account, the behaviour, and how you came across it. We will not disclose your identity to anyone associated with the reported account.
Fees and plan changes
- Access to HiFive is provided under the written agreement, order form, or pilot arrangement between HiFinance and your organization. Where that agreement sets out fees, billing frequency, or a term, those terms govern and these Terms fill in the rest.
- All fees are exclusive of taxes, levies, and duties. Where we are required to collect them, we will; otherwise you are responsible for paying them.
- If we change pricing, we will give your organization at least 30 days' notice at the email address on record before the change takes effect.
- Fees already paid are non-refundable except where the agreement with your organization says otherwise, or where the law requires a refund.
Cancellation and termination
- Your organization may cancel its account at any time by writing to team@hifinance.ai. We will confirm the cancellation and the date it takes effect.
- On cancellation, your workspace and its content become inaccessible immediately. We delete the content from active systems within 30 days and from backups within 60 days. Once deleted it cannot be recovered, so export anything you need first.
- We have the right to suspend or terminate an account and to refuse any current or future use of the Services. Suspension means nobody on the account can reach the workspace or its content. Termination additionally means the account and its content are deleted. We do not use this lightly, but we do use it: misuse of Contact Information is the most likely reason we would.
- Verbal, physical, written, or other abuse, including threats of abuse or retribution, directed at anyone at HiFinance will result in immediate account termination.
Modifications to the Services
We reserve the right to modify or discontinue, temporarily or permanently, any part of the Services with or without notice. Sometimes a feature becomes technically impractical to keep, and sometimes we redesign a part of the product because we think it can be better. Where a change removes something your organization depends on, we will give notice at the email address on record if we reasonably can.
Uptime, security, and privacy
- Your use of the Services is at your sole risk. We provide the Services on an "as is" and "as available" basis, and we do not offer a service-level agreement unless one is written into the agreement with your organization.
- We may temporarily limit or disable an account whose usage significantly exceeds normal usage, or whose usage degrades the Services for others. We will reach out to the account owner first except where the impact is immediate.
- We take measures to protect and secure your data, including encryption in transit, encrypted backups, and access controls. No system is perfect, and we do not guarantee that the Services will be free of vulnerabilities. Report a suspected security issue to team@hifinance.ai and we will respond as quickly as we can.
- You agree that HiFinance may process your data as described in our Privacy Policy and for no other purpose. People at HiFinance access customer data only to help with a support request you have made, to fix an error that has stopped an automated process, to protect the security of the Services, to investigate a credible report of misuse, or where required by law.
- We use third-party vendors and hosting partners to provide the infrastructure the Services run on. The Privacy Policy lists who they are.
Content, confidentiality, and ownership
- The content your organization uploads to the Services (imported lists, notes, templates, and everything else you put in) remains yours. You give us a limited licence to host, process, and display it in order to provide the Services to you, and we claim no ownership over it.
- We do not pre-screen content, but we reserve the right, without any obligation, to refuse or remove content available through the Services.
- HiFinance and its licensors own all right, title, and interest in the Services, including all intellectual property in them. Using the Services gives you no ownership rights in them. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without our written permission, and you must ask before using our name or logo promotionally.
- You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, or access to them, without our express written permission.
- Each of us will treat the other's non-public business information as confidential and use it only to perform under these Terms.
Features and bugs
We design the Services with care, but there is no such thing as software that pleases everybody. We make no guarantee that the Services will meet your specific requirements or expectations.
HiFive uses automated systems, including AI models, to search, rank, summarize, and enrich information about people and companies. These systems get things wrong. Summaries, scores, match explanations, and enriched contact details may be inaccurate, out of date, or attributed to the wrong person. Check anything that matters before you act on it, and do not rely on the Services as the sole basis for a decision that materially affects a person.
We test features before shipping them and we work through reported bugs, prioritizing anything touching security or privacy. Not every reported bug will be fixed, and we do not guarantee error-free Services.
Liability
We mention liability throughout these Terms, but to put it in one place:
You expressly understand and agree that HiFinance shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if HiFinance has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; or (v) any other matter relating to these Terms or the Services, whether as a breach of contract, tort (including negligence, whether active or passive), or any other theory of liability.
You agree to indemnify and hold HiFinance harmless from any claim, demand, or penalty brought by a third party (including a person whose Contact Information you obtained through the Services, or a regulator acting on their behalf) arising out of your use of Contact Information outside the limits set out in these Terms.
In other words: choosing to use the Services means making a bet on us. We work hard to be a safe bet. But if the bet does not work out, that is on you, not us.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict-of-laws principles. You and HiFinance agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of these Terms or the Services.
If any provision of these Terms is found unenforceable, the rest stays in force.
